Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of StateLode — the hosted, MCP-native shared task layer for AI coding agents provided at statelode.dev, app.statelode.dev, and the MCP/API endpoints at api.statelode.dev (together, the “Service”). By creating an account, connecting an agent, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to it.

1. The Service

StateLode provides a hosted task and state layer that AI coding agents read and write over the Model Context Protocol (MCP), together with a web dashboard for humans to supervise that work. The Service is under active development: features may change, and we may add, modify, or remove functionality. We will not materially reduce the core functionality of a paid plan during a period you have already paid for.

2. Accounts and workspaces

  • You must provide accurate account information and keep it current. Sign-in is handled through our identity provider; you are responsible for the security of your login method.
  • A workspace's owner and admins control its membership, roles, tokens, and connected agents. Actions taken by members and by agents authorized for a workspace are the responsibility of that workspace.
  • You must be at least 16 years old to use the Service.

3. AI agents and connected tools

The Service is designed to be used by AI coding agents that you connect and authorize (via OAuth or an access token). You are responsible for the agents and tools you connect: anything an authorized agent reads from or writes to your workspace is treated as done on your behalf. Third-party agents and IDEs are governed by their own vendors’ terms, and we are not responsible for their behavior. Revoke a token or OAuth grant at any time to cut off a tool’s access.

4. Your content

You retain all rights to the content you and your authorized agents submit to the Service (workspace names, projects, tasks, comments, and related data — “Customer Content”). You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content solely as needed to provide, secure, and improve the Service. We do not use your Customer Content to train machine-learning models, and we do not sell it. You are responsible for having the rights to the content you submit.

5. Acceptable use

You agree not to:

  • break the law, or use the Service to store or distribute unlawful content;
  • probe, bypass, or breach security or authentication measures, or access another tenant’s data;
  • overload the Service, evade rate limits or plan limits, or resell it without our agreement;
  • reverse engineer non-public parts of the Service except where the law permits;
  • misrepresent your identity or an agent’s attribution.

We may suspend or limit access that we reasonably believe violates these Terms or threatens the Service’s security or integrity, and where practical we will notify you.

6. Open source

The statelode-bridge CLI is open source under the Apache-2.0 license and is governed by that license, not these Terms. The hosted Service (app, API, dashboard, realtime) is proprietary.

7. Plans, limits, and billing

  • The Free plan is subject to usage limits (members, active tasks, tokens, connected agents, projects, rate limits) enforced by the Service and described on our pricing page. We may adjust Free-plan limits with reasonable notice.
  • Paid plans (Pro, Team, Enterprise) are billed through our payment processor on the pricing shown at purchase, per billing cycle, until cancelled. Cancellation takes effect at the end of the current cycle; fees already paid are non-refundable except where the law requires otherwise.
  • If a paid feature is offered on a waitlist or promotional basis before checkout is available, any complimentary upgrade we grant is discretionary and may have an expiry.
  • Price changes apply from your next billing cycle and will be communicated in advance.

8. Tokens and security

Access tokens and OAuth grants are credentials. Keep tokens secret, do not commit them to version control, and rotate or revoke any credential you believe is exposed. We may revoke credentials that we detect have been leaked publicly. You are responsible for use of the Service under credentials issued to your workspace until they are revoked.

9. Intellectual property and feedback

We and our licensors own the Service, including its software, design, branding, and documentation. These Terms grant you no rights to our trademarks. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

10. Third-party services

The Service depends on third-party providers (such as identity, hosting, database, email, and analytics providers — see our Privacy Policy for the list). Their availability may affect the Service, and their processing of data is governed by our agreements with them.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for material breach of these Terms, for legal or security reasons, or if the Service is discontinued (with reasonable notice and, for paid plans, a pro-rata refund of prepaid fees). Upon deletion, Customer Content is removed as described in the Privacy Policy. Sections 4 (license to feedback excepted), 9, 12, 13, and 14 survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AGENT CONNECTED TO IT WILL BEHAVE CORRECTLY. AI AGENTS ACT ON THEIR OWN VENDORS’ MODELS AND YOUR INSTRUCTIONS; YOU ARE RESPONSIBLE FOR REVIEWING WORK PERFORMED BY AGENTS YOU CONNECT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR USD $100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

14. Indemnification

You will indemnify and hold us harmless from third-party claims arising out of your Customer Content, your use of the Service in violation of these Terms, or the actions of agents and tools you authorize, except to the extent caused by our breach of these Terms.

15. Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict of law rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. Where mandatory consumer law in your country of residence grants you additional rights, those rights are unaffected.

16. Changes to these Terms

We may update these Terms from time to time. For material changes we will update the “Last updated” date above and provide notice (for example, by email or an in-product notice) before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.
